
Sustainability Governance

To strengthen Uni-President Asset Management’s sustainability governance mechanisms,the Board of Directors, as the Company’s highest governing body for sustainability issues, isresponsible for overseeing the formulation of sustainability strategies, systems, and objectives. It also bears ultimate responsibility for supervising sustainability-related internal controls,internal audits, legal compliance, and risk management systems required by law. A Sustainable Development Promotion Team has been established under the Board of Directors. The Company has formulated the Sustainable Development Policy to coordinate sustainability initiatives and resource allocation through an institutionalized governance framework, promoting the implementation of the Company’s sustainability goals and ESG principles. In addition, the Company regularly reports progress toward sustainability goals and the achievements of sustainability initiatives to the Board of Directors to safeguard investor interests and promote the sound development of the Company’s business.
The President, who also serves as a member of the Board of Directors, acts as the Chief Convener and Chairperson of the Sustainable Development Promotion Team, while the heads of the Operations & Support Division and the New Financial Products Division serve as Deputy Conveners. The Team is responsible for formulating the Company’s sustainable development policies and short-, medium-, and long-term goals, promoting the implementation of ESG and sustainability-related initiatives,and ensuring that sustainability issues are effectively integrated into business strategies and daily operational decision-making. Under the Sustainable Development Promotion Team, the “Corporate Governance Team,” “Environmental Sustainability Team,” and “Social Care Team” have been established, with the “Sustainable Finance Team” newly added in 2025. Each team carries out its duties in accordance with its work plan and is responsible for promoting daily sustainability-related affairs and operations, reporting progress and achievements at team meetings, and submitting quarterly reports to the Board of Directors, thus enabling the Board to stay informed of, oversee, and guide the Company’s overall sustainability development direction.
In 2025, the Team held quarterly meetings, totaling 4 meetings, to continuously monitor the implementation performance of sustainable development goals and ensure the implementation of sustainability policies. To strengthen accountability and management effectiveness in sustainability governance, the performance appraisal and annual remuneration of employees responsible for sustainability issues are linked to the setting and implementation of annual sustainable development goals. In the performance appraisal of all employees, the competency assessment section includes behavioral indicators related to integrity and ethical conduct. In addition, to enhance the completeness and credibility of sustainability information disclosure, the Company has incorporated the “Operating Procedures for the Preparation and Filing of Sustainability Reports” into its internal control system, and regularly submits sustainability-related public disclosure information to the Board of Directors for review.
