Considering its scale and business nature, the company operates with directors and supervisors in parallel to strengthen checks and balances and support sustainable operations. Dedicated functions are established for fair treatment, information security and legal compliance, with senior professionals responsible for annual plans, execution oversight and regular reporting to the Board.

Board Operations
The Board of Directors is Uni-President SITE's highest decision-making body for corporate governance. The articles of incorporation define the number and qualifications of directors, and the Chairman presides over the Board. The company emphasizes sustainability, clear separation of duties and conflict-of-interest management. The Chairman and President are not the same person or first-degree relatives; there are no spousal or second-degree relationships among directors, and employees who also serve as directors of the company or its parent, subsidiary or affiliated companies do not exceed one-third of the Board. These mechanisms support objective Board operations and independent decision-making.
Senior management compensation follows the company's work rules, and as a non-public company it is not required to establish a remuneration committee. Board nominations follow the articles of incorporation, prioritizing professionalism, independence and diversity. Board expertise covers finance, accounting and management, and five female directors and supervisors represent 38.46% of the total, demonstrating the company's commitment to diversity and inclusion. Board Meetings and Conflict-of-Interest Recusal
Under the Board Meeting Rules, the Board meets at least quarterly. In 2025, it held five meetings with an average attendance rate of 96.67%. Directors must disclose interests in matters involving themselves and recuse themselves from discussion and voting. The same requirements apply to matters involving a director's spouse, relatives within the second degree or a company under a controlling relationship.
There were five Board recusal matters in 2025. The company checks the status of directors, supervisors and major shareholders in listed and emerging companies monthly and conducts related-party investigations quarterly to reduce conflict-of-interest risk.
Training for Directors and Senior Management
Uni-President SITE provides annual governance training covering business integrity, legal compliance, information security and sustainability trends to help directors, supervisors and senior management fulfill their oversight and decision-making duties and stay aligned with domestic and international governance standards.
In response to rapid changes in financial markets, regulations and sustainability issues, the company also adds courses on emerging transaction risks and biodiversity. These courses help the Board and senior management identify emerging risks and opportunities and improve overall risk management. Senior management, including directors and supervisors, completed approximately 84 hours of sustainability-related training in 2025.
